A desk in Harare for people who are not in Harare

ZimCompany is a Lioncap Ventures service that registers and administers Zimbabwean companies for owners who are not in Zimbabwe: people living abroad, foreign investors, and companies registered elsewhere that need a local entity. Registrations are lodged by a registered filing agent in Harare, accounting is done by a registered practice, and legal advice is referred to a legal practitioner. ZimCompany coordinates them and carries the deadlines.

Who builds this

ZimCompany is a Lioncap Ventures service. Lioncap Ventures (Pvt) Ltd is registered in Zimbabwe under number 16326A02102024 and operates from Harare. It builds and runs software for Zimbabwean businesses: enterprise resource planning, healthcare platforms, payment rails and compliance funnels.

The most relevant of those is the data protection compliance practice at StoneGuard, which takes Zimbabwean organisations through licensing with the regulator. It is the same shape of problem as this one: a statutory obligation, a government portal, a deadline nobody warns you about, and a client who would rather pay someone to carry it than learn it.

How the work is actually done

We are honest about what we are. ZimCompany is a coordination desk, not a law firm and not a registry. Registrations are lodged by a registered filing agent in Harare who does this every working day. Accounting and statutory returns are performed by a registered accounting practice. Anything that amounts to legal advice, including share structures, shareholder agreements and disputes, is referred to a legal practitioner.

What we carry is the part that fails when you live abroad: knowing which vehicle Zimbabwean law allows you, collecting the right documents once instead of three times, putting the filing in front of the right person, and holding the dates that follow. When we say end to end, we mean one desk coordinating licensed providers, and we say so on every page rather than implying we do all of it ourselves.

We do not name our partners publicly. That is not evasion, it is how the relationship works: the client contract is with us, the accountability is with us, and a partner who is named publicly gets approached directly and quoted a worse price than the one we have negotiated for you.

What we will not do

Who we serve, and what changes for each of them

Three kinds of owner use this desk. Someone living outside Zimbabwe who wants a company there. An investor who is not a Zimbabwean citizen. And a company registered somewhere else that needs a Zimbabwean entity to contract, invoice, employ or bid.

The offer is the same for all three, and so is the price list. What changes is what the law asks of the company once you say who owns it. A foreign-owned company must hold a Zimbabwean company secretary, may need to register with the investment agency, and may sit in one of the fourteen sectors where foreign participation is capped. All of that is published on our foreign owner page and priced in the estimate, rather than saved for a conversation at the point you are ready to pay.

One route we genuinely will not price on the spot: buying into a Zimbabwean company that already exists, where an owner is not a Zimbabwean citizen. Exchange control approval can apply to acquiring the shares, and the opinion on it belongs to a legal practitioner. That is a conversation, not a refusal.
